KFPS Member Council Nominations and By Law Referendums
in UncategorizedA seat on the KFPS membership council is opening up this spring. Nominations are Due NLT March 30th and the voting will open on April 1st -Apr 30th. The new member will be installed at the Spring Council meeting.
Those Nominated must submit Bios and Pictures to the office before the voting opens.

There are several proposed By Law Changes They are listed below for your consideration.
By Law 6.4.6 states:
A parent, child, sibling, spouse, or domestic partner of an existing officer on the Board shall not hold an office on the Board at the same time.
Change to:
A parent, child, sibling, spouse, or domestic partner of an existing officer on the Board or employee of the organization shall not hold a director position on the Board at the same time.
Any member that has received formal discipline from the organization’s Officers regarding Code of Conduct violations is not eligible for a position on the Board.
Paragraph 6.4.8 States:
The President, or Vice-President, if the President is unavailable to do so, shall appoint two (2) members who are not members of the Board to act as a jury for the counting of the ballots. If two members are not available for appointment as a jury, a disinterested non-member(s) may be appointed.
Change to: The FHANA Board shall develop a policy that accounts for the voting procedures to include the process of electronic voting for the directors. The independent agency that performs the counting shall be certified to perform the counting of the ballots. The policy shall identify the process for the election of the directors and be available for the membership to refer to on the website.
Paragraph 6.4.11 States:
The results of the election shall be announced to the general membership at the next scheduled mailing to the membership following the certification of the election.
Change to: The results of the election shall be posted on the website and electronic correspondence shall be sent to the members within 72 hours following the closing of the election.
By-Law 6.5: States:
The Board of Directors shall meet a minimum of eight (8) times per year, including one time in person. Meeting via teleconference is permissible for all meetings except that meeting designated as the Annual Meeting. The Annual meeting is to be conducted in person unless the conditions caused by an international incident, catastrophe, pandemic or other National or World-wide event are such that would jeopardize the overall health, safety and well being of the membership and/or the Board of Directors and would restrict or prohibit the members from assembling, then the Annual Meeting shall be conducted via virtual media methods. Changing the Annual Meeting to virtual media methods will require meeting the assembly restrictions and a minimum of two thirds vote by the Board of Directors. The Annual Meeting of the Board shall be held at such time as the President may direct upon at least thirty (30) days prior notice in writing, given personally, by mail, e-mail, or fax, to all of the Directors of the Association for the purpose of electing officers and the transaction of such other business as may properly come before the meeting. The Board may also hold a Fall general meeting but may provide by resolution the time and place, either within or without the Commonwealth of Kentucky, for the holding of this and other general meetings without other notice than such resolution
Change To :

Retiring Directors are to attend their outgoing meeting either virtually or in person.
